Book Abstract

我国资本市场具有两大特征：一是国有股占绝大多数。据初步估计，国
有股份约占三分之二，它包括国家股、国有法人股，还有一些实际上是国家
持有但不划在国家股和国有法人股范围之内的股份。二是绝大多数国有股份
不流通。这样的股本结构对资本市场和股票市场会产生许多不良影响，虽然
不能说股票市场和上市公司的所有问题都由此而引起，但可以肯定地说，不
流通的国有股一股独大是造成上市公司和资本市场问题的重要原因。
国有股问题的根源何在呢?我国股票市场是在二十世纪八十年代后半期
开始建立和发展的，当时股票市场是自发的，一些公司和地方政府自发发行
了一些股票。发股票的出发点很实用，就是筹集资金，因为企业为了进一步
发展需要资金，或者企业运作的过程中没有资金，无法维持。那时，对股票
市场和股份制的争议很大，搞股份制要冒很大风险。只有胆子大的才敢搞股
份制，才敢搞股票市场。1992年小平同志南巡讲话后，股份制和股票市场得
到了中央政府的认可，搞股份制和股票市场的政治风险没有了，各级政府都
有意识地、主动地组织股份制改造和股票发行。但进行股份制改造和通过股
票市场筹集资金的公司，大部分都是国有企业。
尽管如此，搞股份制和股票市场还是有条件的。那时还存在着股份制姓
“社”姓“资”的争论。国有企业改革初期，股份制是在国有企业的资金需
要与股票市场妥协折衷以后产生的。在二十世纪九十年代初期，许多人担心
搞股份制存在私有化的嫌疑。由于这个原因，从那时开始一直到目前为止，
除了极个别境外发行的股票之外，绝大多数股票发行均采取增量发行，即原
国有企业的资产被界定为国有资产或国有股，不能卖，只能吸收增量资金人
股，因为卖国有股份有私有化的嫌疑。这样，上市公司自然就不可能通过股
份制改造和上市减少国有股份。从这个角度讲，股票发行采取的增量形式与
当时的历史背景是相联系的。
另外，搞股份制时如果卖国有股，是否存在国有资产流失的可能?因为
在九十年代初国有资产流失的罪名是很重的，谁都不敢承担这个责任。为了
保险起见，不动国有股，发点流通股，筹集国有企业急需的资金也就成了上
佳的选择。接下来的问题是，私人买了股票会不会控制企业?国有企业、国
有经济在上市公司里的主导地位怎样能得到保证?出于这种考虑，就规定了
在股份制企业里，国有股要成为绝对多数。结果是国有股发行时不卖，上市
后也不流通。当初对国有资产流失和私有化问题是非常重视的，那时有NET
和STAQ两个系统，是进行法人股交易的，后来被关掉的很重要的原因就是法
人股交易有个人参与，即所谓的法人股个人化。由此可见，在防止私有化和
国有资产流失以及确保国有经济主导地位的考虑下，才导致了股份公司里国
有股占绝对多数，国有股也不流通。
从历史的过程来看，我们可以知道，国有股问题是二十世纪九十年代初
期缘于对股份制和股票市场认识和意识形态方面的考虑而形成的，并不是股
票市场本身发展的内在要求。
