Author Description

陈文成，1975年生，山东昌邑市人。山东大学经济学学士，武汉大学经济法硕士、商法博士，中国自由贸易试验区协同创新中心兼职研究员。曾先后在中国人民银行武汉分行、总行条法司（借调）和上海总部跨境人民币业务部工作，现供职于国泰君安证券公司。另合著有《金融法学》、《网络金融法》和《网络金融法原理与国际规则》等书。

Book Abstract

（1）经常和直接投资项下跨境人民币结算。银行业金融机构在“了解客户、了解业务和尽职调查”展业三原则基础上，凭借区内机构（列入重点监管名单的除外）和个人提交的收付款指令（直接投资只需出示投资合同即可），可以直接办理经常项下和直接投资项下的跨境人民币结算业务，而不需要提交各类复杂的商业单据。前置核准是我国在投资管理体制中各个行政管理部门对直接投资项目设置的审批、备案等程序，尽管“三法”（外资企业法、中外合资经营企业法和中外合作经营企业法）在区内暂停实施，但实际办事效率并未有明显提高，资金结算是投资活动的最终环节，商业银行按新规定不再审核所有“前置审批”文件，而是按照展业三原则开展业务，不再成为行政部门是否履行职责的最后保障。

这里的“经常项目”包括货物贸易、服务贸易、收益和经常转移项下的进出口业务，业务主体实际包括区内外机构，因为经常项目早在1996年以后即放开，只是在区内手续更加简化便捷。在实践中，多数银行规定只需要客户书面承诺具有真实贸易或者交易背景，经银行客户经理审查后即可以直接办理结算手续。这里的“直接投资”主体还只适用于区内主体，直接投资属于资本项下的一种，区外对于直接投资的程序和核准文件等要求较为严格，而区内手续大为简便。这里的直投包括外商直接投资区内企业或者个人（FDI）、区内企业或者个人直接到境外投资（ODI）。直接投资应当为实业投资，包括一家企业的新设、购并、增资，但不包括在境内二级资本市场买卖企业公开发行的股票，对于境内目前国家宏观调控范围内的房地产等投资应为不允，对于上海自贸试验区“负面清单”上的投资项目，投资人应当提供相关主管部门的审核文件。在实践中，区内合格个人对外直接投资的资质要求、投资范围、投资额度等方面尚需要进一步明确政策。

该项政策的意义在于，确立“展业三原则”在办理跨境人民币结算业务中的基础地位，对于探索提高金融服务效率、优化金融监管、接轨国际惯例具有积极的启示。金融业务中的造假、欺诈等违规行为对于金融发展和社会秩序构成严重威胁，对此有两种侧重点不同的解决思路：一是相信政府的力量，监管部门经过艰辛细致的工作确立了各项业务规则或者指引，金融机构严格按照规则办理业务，经不同程序、详细审核各类单据，以此确保交易的真实性。这是一种政府主导的发展思路，试图以牺牲金融效率来换取合规金融秩序。二是相信市场的力量，最了解客户和业务的是金融机构的客户经理，而不是监管部门的官员。客户经理对所服务的企
