第一节 贸易术语概述
在国际货物买卖中，交易双方在洽商交易和订立合同时，必须考虑很多问题，如卖方在什么地点交货?由谁负责办理货物的运输、保险及通关过境手续?买卖双方风险如何划分?如果每一笔业务都要详细说明，必定花费贸易双方很多时间和费用才能把问题讲清楚。为了避免这种情况的发生，在长期的国际贸易实践中就形成了贸易术语。
一、贸易术语的含义和作用
（一）贸易术语的含义
贸易术语（Trade Terms），又称价格术语（Price Terms），是在长期的国际贸易实践中产生的，用来表示商品的价格构成，说明交货地点，确定风险、责任、费用划分等问题的专门用语。
（二）贸易术语的作用
（1）有利于买卖双方洽商交易和订立合同。由于每一种贸易术语对买卖双方的义务都有统一的解释，使用贸易术语，有利于买卖双方明确各自的权利和义务，早13成交。例如，外商对我方报价为FOB伦敦，则我方就可以确定双方在哪里交货，风险划分的界限是什么，如何办理出口和进口手续，以及有关费用各由谁承担。
（2）有利于买卖双方核算价格和成本。各种贸易术语对于成本、运费和保险费等各项费用由谁负担都有明确的界定，使用贸易术语，买卖双方比较容易核算价格和成本。例如，外商对我方报价FOB伦敦或CIF广州，我方从贸易术语中可以了解运费、保费应由谁承担，以及是否已包括在货价中。
