《中国上市公司治理报告》：
调研反映，受政策支持兼并重组的影响，外审机构“带病合并”、“项目挂靠”等现象严重，总部的风控体系往往不能在分支机构实行，如绿大地案例。风控落实不到位、未严格遵守质量复核体系也是财务虚假的直接原因，如胜景山河，会计师仅靠粗估，而未现场监盘库存导致财务数据失真。建议监管部门督促外审机构建立统一的质量复核控制体系，采取监管措施切实加强分支机构管理，防范盲目收购和会计挂靠导致的财务造假风险。
五、大力培育长期机构投资者
机构投资者是公司治理的重要基础。调研中，机构投资者反映，公募基金缺乏参与治理积极性主要受制于持股比例限制和业绩考核压力，养老金难入市也是一个重要问题。调研反映，机构投资者是成熟资本市场中一股理性力量，发展资本市场、完善公司治理必须大力培育机构投资者队伍。
1.优化机构投资者结构，从制度和市场环境上培育养老金等长期机构投资者参与公司治理
在美国，长期机构投资者是机构投资者的主体，如2012年底，养老金、保险公司等长期机构投资者的持股市值占比为40%，基金公司的持股市值占比为28%。我国机构投资者持股占比与美国相比不可同日而语。同时，我国机构投资者结构不尽合理，养老金、保险公司等长期机构投资者尚未成为机构投资者的主体。数据显示截至2012年底，我国全部机构投资者持股市值中，保险公司、社保基金等投资者占49.7%，而基金公司的持股市值占比则达50.3%。同时，国内机构投资者参与公司治理的能力不高，缺乏相关经验，如缺乏推荐董事、监事、高管人选的经验。建议出台对社保基金、企业年金、保险公司等长期机构投资者的税收优惠政策，依据投资年限，按比例降低其证券投资收益所得税税率，以鼓励其增加对资本市场的长期投资比重。提高投资额度，加快引进QFII等境外长期机构投资者，扩大人民币合格境外机构投资者（RQFII）试点范围和投资力度。鼓励境内机构投资者与QFII合作，提高参与公司治理的能力，如格力电器的基金股东通过与QFII的合作，累积了推荐董事候选人的经验。
2.应突破两个“10%”的持股限制，引导公募基金主动参与公司治理
调研中，基金公司普遍认为《证券投资基金法》中“单一基金持有一只股票的比例不能超过基金资产净值的10%；同一公司持有一只股票的比例不能超过该公司总股本的10%”的规定，限制了基金公司在上市公司中的持股比例。
