Book Abstract

（四）对外投资服务的先导区
进一步创新我国对外投资服务促进机制，打造中国企业“走出去”的服务高地和成本洼地，近年来我国对外投资不断提高，呈大步追赶趋势。上海自贸区的建立为准备“走出去”的企业提供了一个窗口和试点。首先，上海自贸区的建立无疑会引来众多国际顶尖企业的入驻，这些企业必定产生技术外溢，中国企业可从中学到先进的技术和国际经营管理经验；其次，准备海外投资的企业可先与自贸区内的外资企业打交道，从中窥探和深入了解、学习外国企业的文化、法律和工会组织等情况，以便在海外投资时先做好功课，降低海外投资和并购及经营的风险；最后，上海自贸区的外资企业也为我国企业提供了一个了解国外市场的窗口，提供了一个信息渠道，中国企业在获取国外市场信息方面获得了一条新的通道。
自贸区主要从行政精简化即减少审批程序，变审批制为备案制来减少企业境外投资的时间成本和经济成本；另一方面鼓励区内金融机构利率市场化和降低银行准人来降低企业境外投资的财务成本。
降低融资成本
我国民营企业占据我国GDP比重达到了60％，但仅仅占我国对外投资份额的30％。民营企业并不缺乏“走出去”的动力，但企业融资问题成为了众多民营企业“走出去”的一道坎儿。民营企业融资难、融资成本高主要由下述原因造成：民营企业海外投资并购难以获得金融机构贷款资金支持；黑市拆借资金的融资方式往往高出法定利率许多，使得融资成本大幅增加，且风险变大。
上海自贸区为解决这一问题提供了一个有效途径，《方案》提到：“推动金融服务业对符合条件的民营资本和外资金融机构全面开放，支持在试验区内设立外资银行和中外合资银行”；按照规定，注册在试验区内的中外资企业、非银行金融机构以及其他经济组织可按规定从境外融入本外币资金，这意味着区内企业有机会大大降低融资成本。同时，境外金融机构落户上海自贸区，拓展我国企业尤其是民营企业海外投资并购的融资渠道，降低了其融资成本和风险。
另外，《意见》允许区内金融机构和企业从境外融人本外币资金，资金用途并未明确规定境外融资仅限区内或境外使用，只是规定了从境外借用人民币资金不得用于投资有价证券、衍生产品，不得用于委托贷款；为区内主体提供金融服务的机构，不限于“区内”金融机构而是“上海地区”，意味着实施开放式的市场准入管理，提供金融服务的先入优势“实质胜于牌照”。
（五）监管方式优化的先行区
境内关外的监管模式
上海自贸区将实施境内关外管理，货物进出试验区相当于进口和出口，享受关税等优惠政策；监管采取“一线逐步彻底放开、二线安全高效管住、区内货物自由流动”的模式（“一线”指国境线，“二线”是指国内市场分界线，即自贸区的空间分界线），实践从货物管理转变为企业管理的监管理念，一线监管集中在对人的监管，口岸单位只做必要的检验检疫等，海关从批次监管模式转向采用集中、分类、电子化监管模式，实现区内人与货物的高效快捷流动。“一线”主要讲的是自贸区与境外之间的货物进出口监管，这是“一线”的概念。“二线”的概念是自贸区与境内之间的货物进出监管。具体是指：第一，海关和其他监管部门，试点采取先入区再申报的通关模式。同时还在同步研究简化进出境备案的手续，对整体的一线货物实施低风险的快速放行措施，这是这句话里面核心的含义。第二，区域内的货物流转手续进一步简化，最核心的表现是自贸区企业内部货物流转采用分送集报、便捷流转等方式，下一步可能根据国家海关总署的要求，还会推出自由贸易试验区与其他海关特殊监管区域之间的跨区域的货物便捷流转。第三，主要是通过智能化的卡口管理和信息联网，形成完整有效、风险可控的海关监管这样一个制度体系。凭舱单“先入区、后报关”模式试点和试验区内“分送集报、自行运输”的试点运作。检验检疫对“一线”进境货物，实施进出境检疫和重点敏感货物检验的监管模式。
为了切实履行国境保护职能，维护自贸试验区内的安全稳定，上海海关多措并举：一线进境货物从港口运至试验区途中，继续实施海关监管车辆运输、全球定位系统全程定位监管模式；试验区海关卡口进行了全面的智能化升级改造，并与试验区海关监管信息化系统进行联网对接；车辆过卡时，能够在系统中一次性完成车辆全球定位系统信息核销、车牌及集装箱号自动识别、货物信息扫描验核以及卡口自动抬杠验放等程序；车辆过卡入区流程从过去的“两下（车）两上（车）四敲章”，转变为现在的“零下零上不敲章”，平均时间从6分钟缩短至30秒。
