6.局管和局托管模式下，“营改增”后进项税额如何抵扣？
答：局管模式是指：以集团公司名义中标的大型工程项目或技术含量高，施工难度大，具有战略性地位的工程项目。集团公司设立局指挥部为项目管理机构，资源配置由集团公司负责。各子公司作为参建单位分包工程，并成立实际施工项目部。
局托管模式是指：以集团公司名义中标，集团不设立局指挥部，授权子公司成立项目部代表集团公司直接管理该项目，履行集团公司与业主签订合同中的责任与义务，承担相应的法律责任。
局管和局托管模式，均为以集团公司名义中标，合同签订方为集团公司，但是施工方为集团下属工程公司项目部，合同主体与施工主体不一致。局管模式下，发票开具均以集团公司名义；局托管模式下，成本类发票抬头均为工程公司，但是给业主开具的发票为集团公司抬头。
“营改增”后，集团与子公司均为增值税纳税人，此时合同主体、施工主体均为增值税的纳税人，双方结算必须以增值税发票为载体，进项税额的抵扣也必须取得抬头为增值税纳税人的发票才可以抵扣，形式上相当于集团公司内部分包行为。因此，为了完善增值税的抵扣链条，可以由工程公司开具发票给集团公
司，这样成本类进项税额留在工程公司抵扣，集团公司可以抵扣分包给工程公司收入部分的进项税额。但该种分包模式可能存在《建筑法》中的违法转包行为，存在一定的法律风险。
7.局管和局托管模式下，是否存在集团公司与工程公司项目部双重预缴增值税的可能？
答：是否存在双重预缴增值税的可能，要视政策具体规定。
建筑业营改增后采取“项目部就地预缴”的纳税方式下，局管和局托管模式下，集团公司与工程公司均为增值税纳税人，为了增值税抵扣链条的完整，母子公司之间需要完善合同，签订分包协议，集团公司按工程总价给业主开具增值税专用发票，形成销项税额，子公司按分包金额给集团公司开具增值税专用发票，形成集团公司的进项税额，集团公司和工程公司项目部都应按当期确认的销项税额计税依据计算预缴增值税。同一笔合同款项，因母子公司之间的预征环节增多会造成双重预缴税款的可能性。
但《营业税暂行条例》第五条第三款规定：纳税人将建筑工程分包给其他单位的，以其取得的全部价款和价外费用扣除其支付给其他单位的分包款后的余额为营业额。如果“营改增”后，政策平移，有可能会对上述情况进行差额预征税款。

建筑业是国民经济的重要物质生产部门，关系到国家经济的发展与人民生话的改善。为了避免重复征税，进一步促进社会分工及专业化发展，我国即将对建筑业等行业实行营业税改征增值税（以下简称“营改增”）。国家“十二五”规划明确指出：加快财税体制改革，扩大增值税征税范围，相应调减营业税等税收，扩大增值税改革试点，适时将建筑安装业等行业纳入改革试点。营业税改征增值税是建筑企业当前所面临的一项重大税制改革，它将对企业的财务管理、经营管理、市场行为等多方面产生重大影响。自2012年1月1日起，“营改增”试点已实施3年多时间，按照国家改革的整体安排，将加快税制改革，适时将建筑业、房地产业、金融业和生活服务业纳入“营改增”试点。因此，建筑企业如何应对“营改增”的改革，是当前迫切需要研究和解决的问题。
