迄今为止，关于上市公司股东控制权的研究仍然仅仅局限于“股权控制链分析范式”。从实践来看，股权控制链分析范式对那些股权分散的上市公司具有较强的适用性和解释力。
本书凝结了我近八年时间的研究心血，是我的一系列重要研究成果的集中展示。书中将把社会资本理论嵌入到股东控制权研究中，构建并运用“社会资本控制链”分析范式，对上市公司股东控制权的内涵、获取与强化机制、动态演进过程、剥夺路径和剥夺后果等进行深入系统地解读，从而形成一套比“股权控制链”分析范式更为真实、客观和科学的理论体系，并为解决股东控制与剥夺问题提供具有较强可行性的思路。

Author Description

关鑫，辽宁大学管理学博士，清华大学经济与管理学院博士后。现为首都经济贸易大学工商管理学院院长助理、组织管理系主任，《比较管理》编辑部主编助理。先后在《管理世界》、《中国工业经济》、《南开管理评论》和《改革》等国内一流学术期刊上公开发表论文20余篇，参编《现代战略管理》、《公司治理：原理与前沿问题》和《比较管理前沿问题研究（第1缉）》三部学术著作，曾荣获第五届中国管理学年会（2010）及第六届（2011）、第七届（2013）、第八届（2015）公司治理国际研讨会论文奖。主持教育部人文社科研究青年基金项目1项，中国博士后科学基金一等资助项目1项，校级课题2项。作为核心研究人员参与国家自然科学基金5项，国家社科基金2项，教育部人文社会科学基金项目1项、省部级重点课题4项、国际合作项目2项。主要从事公司治理、比较管理和企业商业模式创新等方面的研究。

Introduction

1997年6月，一场金融危机突然在亚洲爆发，并波及诸多亚洲国家，对东南亚各国、日本和韩国等国家的经济产生了严重影响。这场危机的发展过程十分复杂，危机首先在东南亚爆发并波及港台地区，同年10月迅速蔓延至东北亚，1998年上半年危机不断深化并波及俄罗斯和巴西，且一直持续到1998年年底。亚洲金融危机对世界金融市场产生了巨大的破坏性影响。
经济学家往往从宏观视角来考察亚洲金融危机爆发的原因。他们普遍认为，经济持续过热，经济泡沫膨胀，引进外资的盲目性，短期外债过量，银行体系的不健全，银企勾结和企业的大量负债等，是导致亚洲金融危机的主要原因，而国际炒家的“恶劣”行径（热钱或游资的投机与抽回）是导致这一危机的直接原因。
但是，如果对各国上市公司的治理结构这一微观机制进行细致考察，会有一个令人感到意外的发现。我们要问，东亚各国的公司治理到底出现什么问题了呢？约翰逊等（Johnson et al.，2000）证明，控股股东猖狂的隧道挖掘是导致1997年亚洲金融危机的主要原因。在亚洲金融危机爆发之前，日本、韩国这些后起的工业化国家一直是国际经济舞台的另类明星。日本的主银行治理机制及交叉持股一直被奉为“特色”。韩国的企业系族被奉为“特色”，东南亚的家族企业也被奉为“特色”。但是，长期以来，恰恰是这些“特色”，为以主银行、家族等为代表的股东掏空上市公司创造了极为便利的条件，甚至还起到了一定的掩护作用。股东通过各种隧道挖掘行为不断掏空上市公司，导致上市公司的真实价值远远低于市值，进而造成经济泡沫越来越大。亚洲金融危机的爆发，使人们开始质疑这些治理结构中的特色，并将其视为制度安排中固有的欠缺。亚洲金融危机使人们开始重新审视日、韩等国公司治理结构中所谓的“特色”，并针对这些“特色”展开更深层次的检讨。
从公司治理视角来看，亚洲金融危机的爆发，使大股东剥夺中小股东的问题浮出水面。各国学者开始对股东控制问题及隧道挖掘行为产生浓厚兴趣，公司治理研究的重心开始正式由一类公司治理问题转向第二类公司治理问题，并逐渐成为学界实证研究的新焦点。1999年，拉·波塔（LaPorta）等人将公司控制权问题的研究引向深入，首次推出了股东控制权（UltimateControlRight）的重要研究范畴，并引领形成了一种“股权控制链”分析范式，而且由此在全球范围内掀起一场关于公司治理研究的新高潮。可以说，关于股东控制权问题的研究为公司治理研究者开辟了一个新的研究领域，形成了一种新的研究范式，因此具有十分重要的理论价值。另外，长期以来，股东运用金字塔控制结构等对广大中小股东进行剥夺也是困扰我国上市公司正常治理的一个重要问题。关于股东控制与剥夺问题的系统研究与深入探讨，对于不断完善我国上市公司治理结构，提高上市公司治理效率，从而有效保护广大中小股东的利益，有着极为重要的现实意义。
