5.1.2直接金融
在直接金融过程中，短缺单位通过出售股票、债券等凭证而获得资金，盈余单位持有这些凭证而获得未来的本息收入（债券）或股息分红（股票）。因此，对于短缺单位来说，这些凭证是一种负债；对于盈余单位来说，它们则是一笔资产。这些凭证大多可以在市场上流通，因而具有较高的流动性。
资金短缺单位向最初的购买者出售新发行证券的市场，被称为一级市场或发行市场。而交易已发行证券的市场则被称为二级市场或交易市场，并可以分为有组织的证券交易所市场和场外交易市场两种形式（参见第8章）。一级市场的重要性是毋庸置疑的，因为正是在这个市场上，完成了资金短缺单位和盈余单位之间的资金融通。而二级市场仅仅是资金盈余单位之间的交易市场，和资金的融通并无直接的关系。但这是否就意味着二级市场是可有可无的呢？答案是否定的。事实上，正是由于二级市场的存在使得证券具有了流动性，才使得证券为人们所欢迎，从而使资金短缺单位在一级市场的证券发行更容易成功。在80年代初我国刚开始恢复国库券发行时，由于国库券的二级市场没有开通，人们普遍不愿接受它，必须依靠硬性摊派才能销售出去。但是当国库券的交易市场形成之后，它立刻变得十分抢手。这一例子充分说明了二级市场对于资金融通的重要意义。
对于资金短缺单位来说，虽然它只是在一级市场上获得资金，二级市场上的交易与它没有直接的关系，但是它仍必须随时关心自己发行的证券在二级市场上的表现，因为一级市场的发行价格取决于二级市场的交易情况。一级市场上的买主所愿意支付的价格不可能高于该买主所预期的二级市场上的证券出售价格。如果一家企业的股票在二级市场上表现很糟糕，它要再发行新的股票时就不可能得到一个好价格。更为重要的是，如果一家上市公司的股票价格过低，它就有被别的企业收购或兼并的危险。由于证券在二级市场上的表现最终取决于证券发行单位的业绩，所以为了使自己发行的证券在二级市场上有一个良好的表现，企业的管理者必须尽可能地提高本企业的经营业绩，这就使二级市场具有了对证券发行单位进行监督的功能。因此，二级市场不仅对资金融通具有重要意义，而且还在公司治理结构中扮演着重要角色。
