Book Abstract

23.2 经检验后如发现质量、数量与本合同规定的不符，保险公司或船运公司的责任除外，买家应在被检验后15天内提出索赔，除商检费外，所有的费用包括替补件来回的运费、保险费、仓储费、货物装货卸货费等都由卖方承担。在此情况下，如卖方要求，凡适于抽样和寄样，买方应将该样品寄交卖方。
23.3 The Seller.in accordance with the Buyers claim shall be responsible for the immediateelimination of the defect（S）.If the Seller fails to answer the Buyer within one month after re-ceipt of the aforesaid claim，the claim shall be reckoned as having been accepted by the Seller.
23.3 卖方在接到买方的索赔后，有责任立即解决相应的质量和数量等问题；如果卖方在收到买方的上述索赔后一个月内未能作出答复，则视为索赔已为卖方所接受。
24.LATE DELIVERY AND PENALlTY:
Should the Seller fails to make delivery on time as stipulated in the Contract，with exceptionof Force Majeure causes specified in Clause 26 of this Contract.The Buyer shall agree to postponethe delivery on condition that the Seller agrees to pay a penalty which shall be deducted by thepaying bank from the payment.The penalty，however，shaU not exceed 5％of the total value ofthe goods involved in the late delivery.The rate of penalty is charged at 0.5％for every sevendays.Odd days less than seven days should be counted as seven days.In case the Seller fails tomake delivery four weeks later than the time of shipment stipulated in the Contract，the Buyershall have the fight to cancel the Contract without prejudice to the Buyers right to claim compensa-tions and the Seller，in spite of the cancellation，shall still pay the aforesaid penalty and retum30％deposit prepaid to the Buyer without delay.
24.迟交货和罚金：
如果卖方未能按合同规定及时交货（除了本合同第26条所言的不可抗力），买方同意在卖方付罚金的前提下迟交货，罚金从支付总额中由付款行扣除。罚金的金额不超过迟交货的合同货物部分价值的5％，罚金按每7日0.5％计算，少于7日的增加天数按7日计。如果卖方未能于合同规定的交货期之后的4个星期内发运，买方有权取消该合同，但并不妨碍买方向卖方提出索赔的权利。除此之外，卖方仍要毫不延迟地支付有关罚金，并退回30％订金给买方。
25.Force Majeure：Neither the SeUer or the Buyer shall be held responsible for failure or de-lay to perform all or any part of this Contract due to flood，fire，earthquake，draught，war orany other even~which could not be predicted.
