从2007年6月起，我国本土的私募股权基金迎来了一个新的时代。随着《创业投资企业管理暂行办法》（2006年3月1日生效）、《关于外国投资者并购境内企业的规定》（简称“十号文”，2006年9月8日生效）、《合伙企业法》（2007年7月1日生效）等一系列法律、法规的出台和生效，催生了我国企业和民间资本纷纷涌入私募股权投资领域。
2008年以来，尽管全球金融危机的阴霾依然弥漫，但是金融危机不会阻止私募股权投资的步伐，反而在危机中蕴含了巨大的机会，特别是本土私募股权投资的机会。2009年10月，深圳创业板的成功推出，为私募股权投资提供了重要的退出通道，更是宣告了我国私募股权投资春天的到来。

4．资本取得方式的差异。
在资本获取方式上，私募股权投资和战略性投资也存在差异。
私募股权资本依靠私募的方式取得，而战略性资本可能依靠原始积累、银行贷款、政府扶持等方式取得，当然也不排除战略性资本可能依靠私募方式取得。
5．投资回报方式的差异。
在投资回报上，私募股权投资主要依靠未来出售接受投资企业的股权获取回报，对于接受投资企业的分红虽然关注，但是如果有利于企业的长期发展，不分红或者少分红也不会很在意。
而战略性资本的盈利模式主要在于接受投资企业的分红，虽然也会考虑企业的长期发展问题，但是分红是他们投资的主要动力。假设一个企业永远不分红，私募股权投资如果有较好的退出通道，它一样会投资，而战略性资本可能会望而却步。
（二）私募股权投资与证券投资的差异
1．投资阶段的差异。
如前所述，广义的私募股权投资包括企业的创业阶段、发展阶段、成熟阶段以及企业上市后的定向增发等。而证券投资主要是投资于企业上市后公开发行的股票。当然，证券投资还可以投资其他的金融产品，这里不再赘述。
狭义的私募股权投资仅指投资于企业未上市前的发展、扩张、成熟阶段。事实上，创业风险投资(VC)、狭义的私募股权投资(PE)和证券投资构成了对一个企业分阶段投资的链条。
2．投资周期的差异。
私募股权投资属于中长期投资。而证券投资各种周期都有，有做短线的，有做中线的，也有做长线的。不管投资周期如何，证券投资都是希望从投资的股票中获取红利或者股票价格波动的价差来实现盈利。
但是在盈利模式上，私募股权投资和证券投资并没有太大的差异，私募股权投资也能获取红利，但是其关注点显然主要是放在股权的增值上。
3．投资信息获取的差异。
在获取被投资企业的信息上，私募股权投资主要依靠自身的探询、考察等作出判断，难度较大。而证券投资的企业属于公众企业，依照法规披露的信息较多，作出判断的信息也十分丰富。但是，正是由于市场充斥着上市公司的各种传闻，证券投资者判断上市企业价值的难度并不比私募股权投资容易。但从信息的获取上说，证券投资比私募股权投资容易得多。
4．其他差异。
在准入门槛上，私募股权投资门槛更高，要求投资者资本雄厚，管理者十分专业。而证券投资对资金要求较低，既有专业机构、专业投资人士，也有普通公众参与其中。
另外，私募股权投资受经济环境影响比证券投资要小得多。在经济发展时期和萧条时期，同一只股票的价格差距很大，而私募股权投资中的股权价值更真实一些。
（三）私募股权投资与创业风险投资的差异
这里，将用狭义的私募股权投资同创业风险投资进行比较。PE与VC虽然都是对上市前企业的投资，但是两者在投资阶段、投资规模、投资理念和投资特点等方面有很大的不同。
1．投资规模。
两者的投资阶段前文已有表述。在投资规模上，私募股权投资购买的是度过了创业阶段的企业股权，企业规模变大了，股权变贵了，所以投资规模大一些。而创业风险投资购买的企业股权，因企业处于创业阶段，企业规模小、不确定因素更多，所以股权便宜一些，投资规模相应小一些。需要提及的是，很多传统上的VC机构现在也介入了PE业务，而许多传统上被认为专做PE业务的机构也参与VC项目，也就是说，PE与VC只是概念上的一个区分，在实际业务中两者界限越来越模糊。比如著名的PE机构如凯雷(Carlyle)也涉及VC业务，其投资的携程网、聚众传媒等便是VC形式的投资。这正是本书在研究PE时，未对二者加以严格区分的原因。
2．投资理念。
私募股权投资与创业风险投资的投资理念很多，有相似之处，也有不同之处，要做完整的归纳比较困难。
