Author Description

罗新宇，《上海国资》杂志执行总编，上海联合产权交易所会员部总经理。
湖南邵东人，1974年生。先后就读于武汉大学、中欧国际工商管理学院，曾担任中国青年报记者、新华社记者，《嘹望东方周刊》总编助理，曾在湖南、山东、湖北、北京等地工作。主要研究领域：国资国企改革、金融资本市场、产权市场；社会兼职：长江流域产权交易共同市场副秘书长，上海市经济学会中介专业委员会副主任。

第一篇 国有股监管新政国有股流通谋变
有关国有股流通的三个文件的出台，无疑彰显了国资监管的新思路，那就是更
市场化、更系统化、更规范化。
2007年7月6日，国务院国资委与证监会联合发布了《国有股东转让所持上市公司股份管理暂行办法》（以下简称《转让办法》）、《国有单位受让上市公司股份管理暂行规定》（以下简称《受让办法》），以及《上市公司国有股东标识管理暂行办法》（以下简称《标识管理办法》）三个政策性文件。受市场关注已久的国有股在二级市场流通的问题终告尘埃落定。
以上文件对股改后转让和受让国有上市公司股权的方式、定价原则、审核程
序、转让或受让方资格、协议签订、价款支付等方面作了规范性要求，可谓国资监管部门对上市公司国有股权转让方面的一次更为明确的建规立制。
早在股权分置改革启动不久的2005年9月8日，国务院国资委就出台了《关于上市公司股权分置改革中国有股股权管理有关问题的通知》。2006年2月，国务院国资委主任李荣融还曾提出过，股改完成后，如何有效监管上市公司国有股；如何规范国有股东行为，维护国有股权益和证券市场稳定，是各级国资委必须研究解决的一项重大课题，监管工作迫在眉睫。在随后的股改进程中，围绕“大小非”解禁的关注和争议一直不断。 、
而今，国资委在敏感的国有股减持问题上，以清晰、严密的规则给了资本市场一个明确的答案，更为后股改时代的国资监管开辟了新的篇章。
