葛培健，先生于1957年出生，工商管理硕士，高级经济师。曾任共青团上海市委常委、青工部部长，浦东新区财政税务局办公室副主任，国有资产管理处处长，上海浦东新区国资办（体改办）产权管理处处长。现任上海浦东发展（集团）有限公司党委委员、副总裁，上海浦东路桥建设股份有限公司董事长、党委书记。葛先生自担任上海浦东路桥建设股份有限公司董事长以来，他提出了以BT投资带动施工的发展新思路，加大BT项目的拓展，并通过将项目投资、股权融资、结构金融三者有机结合的方式完善了BT项目的运作模式，并带领公司由单一的建筑施工企业成长为长三角知名的城市基础设施投资建设商。

基础设施是为社会生产和居民生活提供公共服务的工程设施，是用于保证国家或地区社会经济活动正常进行的公共服务系统，也是社会赖以生存发展的一般物质条件。在现代社会中，经济的不断发展对基础设施的要求越来越高，完善的基础设施对加速社会经济活动，保障并提高人民生活质量起着巨大的推动作用。但是，建立完善的基础设施往往需较长的时间和巨额投资，特别对于我国这样的发展中国家来说，在面对经济活动日益频繁、经济高速增长而基础设施建设严重滞后，政府财力有限的情况下，研究如何利用多种投融资方式筹措建设资金、提高效率、降低成本具有非常积极的意义。
基础设施项目涵盖的范围非常广泛，广义的来说，包括公路、桥隧、铁路、码头港口、机场、市政道路、地铁轻轨、能源、水利、邮政、通信、教育、文化、卫生、体育设施等方方面面。基础设施以为人民提供基本服务的目的而存在，大多具有比较明显的公益性。从经济特性的角度来说，基础设施项目具有体量大、投资周
期长、收益稳定、风险低的特点。

Introduction

公共基础设施是现代社会正常运行的基础条件，亦是确保社会生产、生活正常进行的承载体。经济学理论将社会产品分为私人产品和公共产品两大类别，其不同的经济技术特点决定了各自不同的资源配置和生产供应机制。公共基础设施则是一种在消费上排他与否、生产上竞争与否两大经济特点方面介于私人产品与公共产品之间的一种产品。一方面因消费上的非排他性而不能直接利用市场机制实现投入产出良性循环，而显示公共产品的各类特点；从而成为政府直接组织生产、履行公共服务职能的基本经济原因，不论是在计划经济体制、还是在市场经济体制，道路桥梁主要都是由政府投资建造并提供公众使用的。另一方面因存在着通过特定的管理措施以利用市场机制实现竞争性生产供应的可能性，而呈现出私人产品的各类特点；例如采取封闭某一特定道路桥梁、设置收费口的措施，可将其消费上非排他性特点转变为一定程度上的排他性消费，从而可与价格机制结合起来，引入私人投资组织生产；对于具有消费上排他性特点、但因其自然垄断性特点而不具有生产上竞争性或竞争性弱的公共基础设施所提供的产品①——自来水、管道燃气、电力等产品，也可通过政府规定价格、标准、合理利润等管制和调节措施，以有限利用市场机制达到市场主体适度竞争生产的目标。经济学理论将这类难以直接、完全利用市场机制，但经过特定的调节和管理措施转变为可利用市场机制引入私人投资进行有效资源配置和生产的产品，称为“准公共产品”。这是一种具有理论意义的概念表述，突出表明了准公共产品有着不同于公共产品、私人产品的基本经济特点，既不能等同于公共产品，更不能混同于私人产品。前述所谓特定的调节和管理措施，就是一种特定的制度安排和合约选择。
