Book Abstract

如果立法者被激怒了，那么他们就有可能削弱财务会计准则委员会的权威，甚至以新的准则制定机构来替代财务会计准则委员会，而新的机构会更加容易服从于立法者的意志。
还有另外一个原因使得公司不能在理智的自利行为驱动下进行公正的财务报告。公司的管理层作为企业与财务会计准则委员会之间进行博弈的主导者，他们也有自己的利益取向。和购买公司股票的投资者一样，管理层也追求自身价值的最大化。如果披露真实的利润有利于其目标的实现，那么首席执行官（chief excelltive ofricer，CEO）这样做是合理的。然而，有时候他们通过一些财务报告技巧可以利用公司的薪酬系统，从而获得更高的私人收益。
例如，假设CEO的年末分红是根据每股收益的增长来计算的，同时假设公司的折旧（depreciation）政策规定固定资产的平均年限为8年。如果将该假设人为地调整为9年（并获得注册会计师的同意），公司就可以降低每年的折旧费用。严格说来，这是一项会计变更；对使用过程中不断磨损的设备进行重置的实际成本并没有降低。折旧费用所带来的税收抵减额以及现金流量①（见第4章）都没有因此而增加。投资者意识到利润（见第5章）并没有真正地增加，因此公司的股票价格并不会因为这项新的会计政策而变化，而CEO的报酬却会随每股收益的人为调高而变化。
这个例子解释了为什么虽然说理性的投资者喜欢直接的、透明的财务报告，而公司偏要变更会计政策，使投资者难以掌握其真实的业绩水平。根本的原因在于，有时候公司的管理层会将自身的利益置于投资者之上。他们通过高估利润来增加自身报酬，而投资者却承担了由于盈余质量恶化②所带来的市盈率下降的成本。
看来，对于公司来说，合乎逻辑的解决办法是使股东和管理层的利益相一致。董事会可以将管理层的报酬与股价上涨所带来的股东财富增加相联系，而不是与每股收益相联系。这样的安排就不会让CEO产生虚夸利润的动机，因为这些诡计显然不能真正地提高利润，也就不会带来股价的上涨。
顺着这个思路，由于高管报酬与股票增值相联系，财务报告应该是接近真实反映公司业绩水平的理想状态了。但事实上，我们并没有看到这种趋势。前面水星公司、微观战略公司、莱尔努一奥斯比公司等案例表明，公司在财务报告中越来越激进和更多地造假。
而使管理层和股东利益相一致的做法也有一定的消极作用。由于公司管理层不能够再通过一些易于被投资者察觉的财务报告伎俩来提升其报酬水平，因此，他们会设计出更具隐蔽性的方法来欺骗市场，并人为地抬高股价。因而，财务报表分析人员必须更加努力以拆穿这些花招。
