第一章上海国有资产管理体制及国有企业制度改革研究
改革开放以来，上海的国有资产管理体制走过了艰难而卓有成效的改革历程，基本形成了国有资产管理、营运和监督框架和比较完整的管理工作体系，使国有资产始终保持着持续、稳定、健康的发展态势。
加快推进国有经济结构调整和国有企业战略性重组是国有资产管理体制改革的首要任务，实施国有资产战略调整、促进国有企业投资主体多元化改造、加快授权经营公司企业集团改制重组、推进企业经营者市场化和职业化、加强国有资产运行监控等都是国有资产管理体制改革的重要任务，需要各方面不断地通过体制创新、管理创新和政策创新，顺利实现国有资产管理体制改革。
一、国有资产管理体制改革与地方国有经济布局结构调整
1993年，上海国资委成立，同时开始撤销行业主管局，将19个行业主管局或行政性公司改造为由政府授权经营的国有独资控股公司和集团公司，基本形成了“三个层次，两级管理，三个体系”的国资管理体制框架。“三个层次，两级管理，三个体系”的国资管理体制的第一个层次是国资委及派员组成国资委的市经委等归口管理部门，组织部、财政局等党政部门；第二个层次是39家授权经营的国有独资控股公司和集团公司，相当一部分由原行业主管局翻牌而来，它们与一般的生产经营企业有很大不同，基本属于“国有资产运营性公司”；第三层次则是由第二层次控股和持股的1万余家企业。“两级管理”，则是指国资委向区县综合授权，实行市、区两级分层管理，市、区县两级政府（含党的部门）各自对市属和区县属的国有资产进行管理。“三个体系”，是指管理体系、监督体系、运营体系。
