Book Abstract

1.持续改进公司治理。
B致力于遵循最高监管要求，并借鉴国际最佳公司治理实践，不断完善公司治理架构和制度体系。（1）遵循国际先进标准建立起投资者关系管理和信息披露机制，成为公司连通资本市场和境内外投资者的重要桥梁，并继续在同业中保持领先水平。通过多种形式和多种渠道，与全球范围内的投资者保持经常性的沟通，与投资者分享经营理念和改革发展的重大进展，并及时根据投资者的意见和建议加以改进，使各利益相关者都能够以合理的方式对公司经营管理发挥积极的作用。在信息披露领域亦持续保持行业领先的地位，除严格遵循监管要求披露信息外，还主动、及时地披露其他可能对股东和其他利益相关者决策产生实质性影响的信息。（2）2007年，为适应A股上市的最新要求，全面修订了公司章程、股东大会和董事会议事规则，制定了严密的股东大会对董事会、董事会对行长的授权方案及相关授权管理办法，使公司治理的各项制度严格遵循境内外监管准则。
2.整合管理架构、构建流程银行。（1）按照前中后台分设原则整合总行本部各管理板块架构，部门职责重新作了界定；持续推进按照“以客户为中心”构建各业务板块，如零售业务板块、公司业务板块和资金业务板块的组织重组工作；按照独立性、专业性、权威性原则，5个区域授信审批中心、6个地区审计部全部建立并开始运行。（2）加快推进流程银行建设：进行营运体系改造，实施事业部制改革，同时加速中后台营运集中化步伐，成立了华中金融服务中心，实施了单证中心上收，完成了零售信贷集中化方案，达到了提升营运效率、强化风险控制的目标，实现了全行参数集中化管理，改革会计管理模式。
3.加强人才队伍建设。B银行的高级管理团队皆由经济金融领域的精英组成，历年来进行了不断的优化调整。同时，B银行通过系列措施建设业务发展的人才队伍：（1）建立健全科学合理的用人机制。按照“人行要考试，在岗受约束，定期要轮岗，晋级靠竞争，违规要问责”的要求，加强队伍管理，形成“员工能进能出、干部能上能下、人才合理流动、内部有序竞争”的新格局。要通过科学合理的用人机制，既让员工感受到该行大家庭和谐温馨的一面，又让员工感受到奋勇争先的压力。同时，在感情留人、机制留人上做好文章，帮助员工解决实际困难，为员工施展才华的提供平台和舞台，对于一些业务能力比较强、学历比较高、年轻的干部，破格提拔。（2）加强后备干部和各类专业人才队伍建设。
