Author Description

黄群慧，中国社会科学院工业经济研究所所长，研究员，教授，博士生导师，国家“百千万人才工程”入选人员，被人事部授予“有突出贡献中青年专家”，享受国务院颁发政府特殊津贴，兼任中国企业管理研究会副会长、常务副理事长，中国社会科学院中小企业研究中心理事长，多所大学兼职教授。曾任中国社会科学院经济学部主任助理、经济学部工作室主任，中国社会科学院科研局副局级学术秘书，中国社会科学院科研局副局长。研究领域为产业经济和企业管理。先后主持国家社科基金重大招标项目（12＆ZD085）、国家社科基金项目、国家科技支撑计划项目、中国社会科学院重大课题多项。


余菁，1976年生，江西南昌人，先后就读于中国地质大学（武汉）、江西财经大学、中国社会科学院研究生院，获工学学士、经济学硕士、管理学博士学位，现为企业制度研究室副主任、副研究员。工作经历：自2001年以来，一直在中国社会科学院工业经济研究所从事研究工作。主要研究方向：国有企业改革、公司治理、组织管理、信息技术产业政策、企业信息化。

《新时期全面深化国有经济改革研究》：
关于国有企业战略性重组的策略，徐传谌和邹俊认为中央企业在重组的过程中，应明确战略定位，承诺行动；信息透明，降低交易成本；健全治理结构，建设人才梯队；控制关键领域，围绕产业价值链开展重组；促进企业文化融合；合理配置人力资本，建立合理人力资本流动机制；加强监控，避免一“组”了之；谨慎择机，积极推进央企重组。郑海航针对央企重组过程中存在的问题提出六条建议：央企重组应该遵循科学规律，而非服从长官意志；央企重组的范围不能局限在央企之间，要打破央企和地方国企的界限，打破国有资本和民营资本（包括境外资本）的界限；要打破国资委或企业是央企重组单一主体的惯例，认为央企重组应该是双主体，即国资委是推动央企重组进行产权划分的主体，而企业集团是内部整合的主体，两个主体各司其职，各负其责；央企重组应该注重企业间资本层面的融合，央企之间相互投资、注资和持股既促进了产权多元化，又促进了整个央企社会资本的合理流动；央企重组的关键是重组之后进行内部整合，涉及企业产品、研发、营销、财务、文化价值观的整合；要通过把重组和央企新发展战略的制定、央企产业结构升级、央企的管理提升以及央企的改革特别是垄断企业的改革结合，优化央企产业结构。谢小兵和金彦平指出部分央企仍以扩大规模为主进行并购重组，须转变发展模式，正确处理好做大与做强的关系；央企之间的深层次资源整合力度仍须加强；央企内部仍须围绕突出和做强主业，进一步加大资源整合、产权构架调整力度；推进国有资产股份化、证券化过程中，应当更加注重整合利用央企现有上市公司资源。
