Book Abstract

从1979年开始，我国开始探索国有企业改革，最初是以经营权改革为突破口，实行放权让利，扩大企业的经营自主权，随后衍生到承包租赁，但这条路并未成功。直至20世纪90年代初期，我们终于开始研究国有企业的产权制度，研究所有制，提出了把股份制作为改革的方向，把国有独资企业演变成现代股份公司法人，形成以国有资本为主、与市场经济相适应的现代公众公司。从此，中国的国企与国资改革终于走上了正路。

自20世纪80年代中期开始，我就参与了中国国企的股份制改革。1992年，我指导设计了广西玉柴股份有限公司的股改方案，我用“老树发新芽”的理论，通过股份制和集团化同时构造的方式，使玉柴的股份制改革取得成功，也因而被媒体称为“中国国有企业股份制改革拓荒者”。从1992年起，经中信公司荣毅仁董事长批准，我组建并成为北京标准咨询有限公司的董事长，在以后的8年期间，我主持了中国铝业公司、国家电力公司、中国航空集团、海尔集团、海南航空、万向钱潮、李宁公司等270多家企业的股改融资上市、国企发展组织战略和经营战略的方案设计，因此也被媒体称为“企业股改第一人”。

我有幸全程参与中国的改革开放，伴随着中国企业的成长而逐渐成熟。我曾和中国证券市场研究设计中心（“联办”）的一位老朋友李青原共同畅想：45岁教书、50岁写书、60岁种树的人生理想。为了实现自己写书的梦想，我辞去了北京标准咨询公司董事长的职务，希望基于自己改革实践经验的积淀，整理总结中国36年改革的成功经验。

从目前来看，我正在一步一步兑现愿望，而这本《凤凰涅槃》的出版是继我在出版了刘纪鹏改革论著三部曲《大道无形》《路径选择》《大船掉头》之后的又一改革论著。《凤凰涅槃》收录了我多年来在国资改革上的学术著作及受托所作的国资改革方案，不仅是我二十年来国资改革理论研究和实践经验总结的结晶，也是我在履行个人人生目标规划中值得一提的成果。
