（三）通过建立二级市场提高资金的流动性
在向SEC登记注册期间，Prosper停止了发放新的贷款，但仍继续运营原有的贷款。相比之下，Lending Club在登记注册的过程中，虽没有吸引新的放款人，但却用自有资金继续支持新的贷款申请。在付出监管代价之后，两个平台发售的凭证都可以在Foliofn这个自我请算的线上交易市场中交易，P2P的二级市场由此形成。
二级市场的形成不仅大大提高了P2P信用凭证的流动性，也使几乎全美国的民众都可以参加P2P的交易。在Foliofn中，这两个平台分开运营且账户不共用，但平台上流通的债券票据属性一致，交易方式也没有大的差异，因此理论上这些交易能在同一个平台上实现。对这两个平台，Foliofn都只是建设者及运营者，负责提供交易“场所”，撮合交易双方，不参与做市。在每个时点上Foliofn都有大量的权证在售，来确保为交易平台上的投资者提供稳定的票据供给。二级市场的出现更符合美国资本市场的金融理念，投资者构建成功的投资组合降低了流动性风险，也提供了有效的退出渠道，丰富了P2P的投资市场。
（四）较早将P2P纳入证券交易委员会的监管
2008年，在美国P2P行业发展到一定阶段后，SEC认为P2P公司的业务涉及证券发行，并将其纳入SEC的监管范围，P2P公司经营须遵守证券业的相关法律标准，且SEC本身有较高的准入门槛，有效阻止了不成熟的P2P公司加入。高额的登记注册成本也阻止了其他潜在的市场进入者，对投资者进行了一定的保护。
